Muse Supplemental Terms of Service

These Muse Supplemental Terms of Service ("Terms") apply when you access and use the product, tools, services, documentation, content, functionalities and generative AI features that we make available to you through the Muse product (together, "Muse").
These Terms are a legally binding agreement between you and Meta Platforms, Inc. ("Meta", "we", "our", or "us"). By using Muse, you agree to be bound by these Terms, the Meta Terms of Service, the Meta AI Terms of Service, and any other applicable terms and policies. The Meta Terms of Service and Meta AI Terms of Service are different depending on the region that you live in. If there is any conflict between these Terms and the Meta Terms of Service or the Meta AI Terms of Service, these Terms will govern solely with respect to your access and use of Muse and solely to the extent of the conflict.
ARBITRATION NOTICE: IF YOU RESIDE IN THE UNITED STATES OR CANADA, YOU AGREE THAT DISPUTES BETWEEN YOU AND US RELATED TO MUSE OR THESE TERMS WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION, AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. WE EXPLAIN SOME EXCEPTIONS AND HOW YOU CAN OPT OUT OF ARBITRATION IN SECTION 19 BELOW. PLEASE CAREFULLY REVIEW SECTION 19.
- Eligibility. Without limiting the Meta Terms of Service, the Meta AI Terms of Service, or any other applicable terms or policies, you cannot use Muse if you are under the age of 18 (or such greater age required in your country or territory) or if you are prohibited from receiving our services or software under applicable laws.
- Your Ownership of Your Content and Our Permissions.
- Your Ownership. You retain ownership of any intellectual property rights you have in content that you create or share with Muse ("Your Content"). Nothing in these Terms takes away those rights.
- Only this License Applies. The content licenses in the Meta Terms of Service and Meta AI Terms of Service do not apply to Your Content as used on Muse. Your Content is instead governed by the license below. Adding Muse to the same Accounts Center as other Meta Products is optional. If you choose to do so, the Terms for those other Meta Products will apply.
- Our Permissions. You grant Meta a non-exclusive, transferable, sub-licensable, royalty-free and worldwide license to host, use, distribute, modify, run, copy, publicly perform or display, translate, and create derivative works of Your Content, including from Connected Services, solely to provide, maintain, secure and improve Muse, consistent with your privacy and application settings. To the extent your interactions with Muse include Your Content, you further grant us a license to use it to improve AI at Meta, but you can opt out of this at any time in your Settings under "Data Controls".
- Ownership of Muse. Meta retains all respective rights, title, and interest, including intellectual property rights, in and to Muse. Other than the right to access and use Muse subject to these Terms, these Terms do not grant you any right, title, or interest in or to Muse.
- Restrictions. Without limiting the Meta Terms of Service, the Meta AI Terms of Service, or any other applicable terms or policies, you may not access, use, or allow others to access or use Muse in any manner that would:
- Not be permitted in accordance with these Terms, the Meta Terms of Service, or the Meta AI Terms of Service;
- Violate any applicable law or regulation (including but not limited to any manner that promotes, contributes to, encourages or facilitates illegal or unlawful activity);
- Generate, promote, disseminate, or otherwise facilitate harm or death to yourself or other individuals, including to encourage self-harm, discrimination, bullying, disordered eating, humiliation, and/or other physical or emotional harms;
- Generate, promote, disseminate, or otherwise facilitate the manufacture, acquisition, or use of weapons, explosives, illegal drugs, controlled substances, or hazardous materials;
- Constitute unlawful discrimination on the basis of protected characteristics under applicable law, such as race, color, religion, sex, sexual orientation, age or disability;
- Violate, bypass or circumvent any third party's terms of service, security, access controls, technical protections, including but not limited to circumventing any paywalls or CAPTCHAs, or use third party credentials without proper authorization;
- Decide, or serve as a substantial factor in deciding, without meaningful human review, whether another person receives or keeps employment, credit or other financial services, housing, insurance, an educational placement, healthcare, or a legal right or benefit;
- Constitute engaging in unauthorized or unlicensed regulated activities (including, but not limited to, medical, psychological, financial, legal, political campaigning or lobbying);
- Constitute anticompetitive conduct, behavior or practices (including, but not limited to, predatory pricing, price-fixing or bid-rigging with competitors, market allocation agreements, coordinating prices or output with competitors, or any other practices prohibited under applicable antitrust or competition laws);
- Initiate bulk calls, messages, or other communications without required consent under applicable telecommunications laws and regulations, including but not limited to The Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, US state telemarketing laws, or similar laws and regulations in other jurisdictions;
- Involve the collection, storage or processing of human characteristic data, biometric identifiers or biometric information - or perform any biometric operations - as are prohibited or regulated by applicable law or regulation and/or without express consent from the individual to whom such data relates;
- Misrepresent Muse responses as human-generated when they are not, including taking steps to conceal that Muse interacts with any third party on your behalf where disclosure of its non-human identity is required by applicable law or regulation;
- Impersonate any specific individual, company, or entity, or deceive or mislead any person, company, or entity, including but not limited to identity theft, fraud, scams, phishing, malware, furtherance of misinformation or disinformation, or misrepresentation of authority or affiliation;
- Harass, threaten, intimidate, stalk, or otherwise engage in abusive conduct toward any individual or entity, or defame any individual or entity;
- Generate, create, distribute, or facilitate the distribution of non-consensual intimate images, child sexual abuse material (CSAM), any content depicting the sexual exploitation of minors, or other illegal content;
- Chain or sequence automated actions across systems or platforms in a manner designed to obscure the automated nature of those actions from the parties affected by them;
- Distill, or attempt to distill, Muse, or any functionality of Muse;
- Access or attempt to access any data, account, or system that you are not authorized to access;
- Generate, promote, disseminate, or otherwise use or facilitate content or activities that may violate or infringe upon the rights of others (including but not limited to intellectual property rights and privacy rights);
- Reverse engineer, decompile or disassemble Muse or any portion thereof, including outputs of Muse, except to the extent that such restriction is expressly prohibited under applicable law;
- Develop, deploy, distribute, or facilitate the creation of malicious code, malware, viruses, ransomware, or any other software designed to cause harm, damage, or unauthorized access to systems or data;
- Encourage, facilitate or enable Muse to disregard or override its safety, security, or privacy training, systems or features, or to control physical systems in a way that could endanger individuals or violate an applicable law or regulation;
- Encourage, facilitate or enable minors' access to age-restricted goods, services, or content, including but not limited to alcohol, tobacco, firearms, gambling, or adult content; or
- Violate US, EU, UK or UN sanctions or export controls laws or regulations ("Trade Controls"), including but not limited to use of Muse for any end use or for the benefit or support of any individual or entity that would violate Trade Controls. You represent and warrant that you are not the target of Trade Controls such that it would violate Trade Controls for you to use Muse. Your input to Muse may not include or request any material or information that requires a government license for release or export under Trade Controls.
- Personal Information. The Muse Privacy Policy provides more information about our processing of personal information related to Muse.
- Using Connected Services.
- Connected Services: You may choose to link or integrate Muse with third-party integrations, tools or services ("Third-Party Services") or other Meta accounts and services. Together, these are "Connected Services." If you do so, certain data may be shared between Muse and those Connected Services. You acknowledge and agree that any transfer of data to a Connected Service is directed by you. Third-Party Services are not controlled by Meta, and their availability, security, reliability, and data handling practices may vary. You are solely responsible for: (i) deciding whether to transfer data to a Connected Service from Muse; (ii) configuring and managing integrations with each Connected Service (and any associated permissions); (iii) understanding and complying with the terms and policies of each Connected Service; and (iv) understanding the risks of connecting to or sharing data with any Connected Service. Meta is not responsible for any aspect of any Third-Party Service. Please contact the provider of that Third-Party Service with any questions or comments relating to that service.
- Access and approvals. Muse accesses and interacts with a Connected Service subject to the permissions and settings you grant. Depending on the Connected Service, you may also limit Muse to retrieving information or require your approval before it takes certain actions. You can change these settings or disconnect a Connected Service at any time.
- Account Center. Adding Muse to the same Accounts Center as other Meta Products is optional. If you have chosen to add your Muse to Accounts Center, you agree that Meta may combine and use your information (including Your Content) across profiles and devices in that Accounts Center as described in the Meta Terms of Service and Meta Privacy Policy. You can keep Muse in a separate Accounts Center by signing up with an email address that is not associated with another Meta account.
- User Representations and Warranties. By accessing or using Muse, you represent and warrant to Meta that:
- Authority. You have full legal authority to take any action you instruct or authorize Muse to take. This includes authority over any accounts you connect, information you provide, and recipients you contact.
- Permissions and Consents. You have obtained all necessary permissions, consents, licenses, and authorizations required for any action you instruct or authorize, or any data that you connect or share with Muse, including consents (where required) from third parties whose personal information may be processed or when you engage in contractual arrangements on their behalf.
- Compliance. Your use of Muse and Connected Services, and any actions that you instruct Muse to undertake, will comply with all applicable laws, regulations, and contractual obligations, including but not limited to data protection and data security laws, anti-spam laws, securities laws, marketing laws, national security laws, anti-hacking laws, regulatory restrictions, and Trade Controls.
- User Responsibility. Muse uses AI and Connected Services chosen by you to serve as your AI agent and take actions on your behalf. You should carefully consider the instructions that you provide to your agent, as your agent may take actions based on those instructions. You are solely responsible for the instructions, goals, and guidance you provide to Muse. You are also solely responsible for the actions Muse takes or directs in furtherance of those instructions, goals and guidance in connection with your access and use of Muse. This includes, but is not limited to, any contracts, commitments, communications, content or transactions made, whether they are a result of precise instructions, an identified goal, general guidance or otherwise.
- User Responsibility for Artifacts. You are solely responsible for all artifacts, including but not limited to documents, images, code, and web apps/websites, that Muse creates, generates, publishes, or hosts at your direction. You are also solely responsible for all content, data, materials, and activities on, in, or through those artifacts, whether generated by Muse, supplied by you, or contributed by any third party. You are responsible for each such artifact to the same extent as if you had created, published, and hosted it yourself. This applies whether or not you reviewed, inspected, or were aware of its contents before or after creation. You are responsible for monitoring and moderating each artifact for so long as it is hosted, and for promptly removing or disabling access to any content or activity that violates these Terms or any applicable laws.
- Oversight, Review and Correction. By using Muse, you will maintain meaningful human oversight over all actions taken. This includes promptly reviewing its actions and, where appropriate given the nature and consequences of the actions being performed, maintaining appropriate approval workflows over actions taken and communications sent on your behalf. It also includes not directing Muse to engage highly autonomously without appropriate oversight and approvals in place. In particular, you should not make state-changing actions, such as sending communications, executing financial transactions, deleting data, or modifying system configurations, without appropriate human review and approval prior to execution or granting pre-authorization for such actions. State-changing actions modify persistent data, systems, or the external world and may be difficult or impossible to reverse. You accept full legal responsibility for any resulting content and actions as if you had personally created or taken them yourself. This includes sole responsibility for their accuracy, truthfulness, and lawfulness. You are solely responsible for immediately correcting any inaccuracies or errors with all affected parties. You expressly waive any claim against Meta arising from AI-generated content or actions of AI agents taken in connection with your access and use of Muse.
- Financial Actions. If, based on your request or instructions, Muse takes actions involving financial transactions, payments, purchases, or transfers, you acknowledge and agree that: (i) you are a legally authorized user of any payment credential, account, card, or financial instrument used in connection with Muse; (ii) you bear all risk of financial loss arising from such actions and your use of Muse; (iii) you are solely responsible for setting appropriate limits and safeguards (including transaction limits and category restrictions), monitoring your accounts, and timely disputing errors with the applicable financial institution or payment provider; (iv) Muse is not a licensed financial advisor, broker, fiduciary, money transmitter, or financial institution, and any financial functionality is subject to the applicable terms and conditions of Meta and any third-party integrations involved; (v) certain transactions may be irreversible by their nature; and (vi) you are solely responsible for ensuring that transactions do not violate applicable law or regulations, including but not limited to Trade Controls.
- Fees. Meta may decide to offer Muse for free for a limited period, may decide to allow a free trial from time to time, or may decide to charge for use of Muse. Meta reserves the right, in its sole discretion, to modify or discontinue offering Muse for free, including any free trials, at any time and without prior notice, unless where required by law.
- Subscription. Meta may offer a subscription that provides access to Muse (a "Muse Subscription"). Your purchase of, and the subscription relationship under a Muse Subscription are governed by the Meta Subscription Terms of Service. If you choose to access Muse through a subscription, your fees, billing, and payment terms are governed by the plan you select under the Meta Subscription Terms of Service, and the Community Payment Terms. In the event of a conflict between the Meta Subscription Terms of Service and these Terms, these Terms will prevail.
- Additional AI Usage. Meta may offer you the option to buy additional paid AI usage. Such credits (i) are not legal tender or currency; (ii) are not redeemable, refundable, or exchangeable for any sum of money or monetary value; and (iii) have no equivalent value in fiat currency. If you choose to access Muse through paid additional usage, your fees, billing, and payment terms are governed by the Muse Terms of Service and the Community Payment Terms.
- Promotional Credits. Meta may provide you with promotional credits in your account that can only be used with Muse. Such credits (i) are not legal tender or currency; (ii) are not redeemable, refundable, or exchangeable for any sum of money or monetary value; and (iii) have no equivalent value in fiat currency. Unused promotional credits may expire within a set period of time as stated in your account or otherwise indicated in the applicable terms, and cannot be reinstated.
- Meta's Right to Refuse. Your instructions and representations do not authorize Meta or Muse to engage in conduct that is inherently unlawful. Meta reserves the right to refuse to take any action that it determines, in its sole discretion, would violate applicable law or regulation or any policy of Meta regardless of your authorization.
- Monitoring and Intervention. Subject to your applicable Muse configuration: (a) Meta reserves the right, but has no obligation, to monitor, log, review, suspend, block, or modify Muse's actions at any time for safety, security, compliance, or operational reasons, or other reasons in Meta's discretion; and (b) Meta may access and retain logs of actions taken by Muse in connection with your access and use for purposes including but not limited to safety monitoring, abuse prevention, service improvement, and legal compliance. To report a safety, security, compliance, or operational concern please submit a form under Help & Support.
- Accuracy Warning. Muse uses AI agents to provide its service. Muse's actions and outputs may be inaccurate, incomplete, or contain material errors even when they appear accurate due to their level of detail or specificity. Actions may not be error-free or operate as you intended. Outputs may not reflect correct, current or complete information and may contain content that does not reflect Meta's views. Results may also vary based on your specific inputs and any Connected Service to which you choose to connect. You should not rely on any actions or outputs without independently confirming their accuracy. By using Muse, you agree to review all actions Muse takes to ensure its activity is aligned with your intentions and these Terms.
- No Professional Advice. Muse does not provide, and should not be relied upon for, legal, financial, investment, medical, tax, or other professional advice. Any information or actions provided by Muse are for general informational purposes only and do not constitute professional advice. Any financial information provided by Muse is not personalized to you. You should consult with qualified professionals before making any decisions or taking actions based on Muse's output or actions.
- No Fiduciary Duty or Agency Relationship. Muse does not have a fiduciary relationship with you. You remain solely responsible for all decisions, actions, outputs or outcomes resulting from any use of Muse. Nothing in these Terms, and no aspect of your use of Muse, shall be construed to create a legal agency, partnership, joint venture or employment relationship between you and Meta, or between Meta and any third party with whom Muse interacts on your behalf.
- Disclaimer of Representations and Warranties. MUSE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, META MAKES NO REPRESENTATIONS OR WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THIS INCLUDES, BUT IS NOT LIMITED TO, REPRESENTATIONS OR WARRANTIES AS TO THE OPERATION OF OUR PRODUCTS (INCLUDING BUT NOT LIMITED TO MUSE), THE INFORMATION, CONTENT, OR MATERIALS INCLUDED IN OR PRODUCED BY THEM, OR ANY ACTIONS THEY TAKE. META DOES NOT REPRESENT OR WARRANT THAT MUSE WILL PERFORM OR DIRECT TASKS ACCURATELY, COMPLETELY, OR IN ACCORDANCE WITH YOUR INSTRUCTIONS, OR THAT THE ACTIONS TAKEN BY MUSE OR BY THIRD PARTIES ASSOCIATED WITH YOUR USE OF MUSE WILL ACHIEVE YOUR INTENDED OUTCOMES.
- Limitation of Liability. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL META OR ITS AFFILIATES BE LIABLE UNDER ANY THEORY OF LIABILITY, WHETHER IN CONTRACT, TORT, NEGLIGENCE, PRODUCT LIABILITY, OR OTHERWISE, ARISING OUT OF THESE TERMS OR OUR PRODUCTS (INCLUDING BUT NOT LIMITED TO MUSE), FOR ANY LOST PROFITS, REVENUES, INFORMATION OR DATA OR ANY SPECIAL, CONSEQUENTIAL, INCIDENTAL, OR OTHER INDIRECT DAMAGES, EVEN IF META OR ITS AFFILIATES HAVE BEEN ADVISED ON THE POSSIBILITY OF ANY OF THE FOREGOING. FOR CLARITY, THIS LIMITATION APPLIES TO ANY CLAIM ARISING FROM MUSE TAKING ANY UNINTENDED, ERRONEOUS, OR UNAUTHORIZED ACTION, INCLUDING BUT NOT LIMITED TO SENDING UNINTENDED COMMUNICATIONS, EXECUTING UNINTENDED TRANSACTIONS, OR MODIFYING OR DELETING DATA. EXCEPT FOR CLAIMS ARISING FROM META'S GROSS NEGLIGENCE, WILLFUL MISCONDUCT OR FRAUD, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR OUR SERVICES (INCLUDING MUSE) HEREUNDER WILL NOT EXCEED THE GREATER OF $250 OR THE AMOUNT YOU HAVE PAID US IN THE TWELVE MONTHS PRECEDING THE EVENTS GIVING RISE TO THE MOST RECENT CLAIM.
The laws of some states or jurisdictions may not allow the exclusion or limitation of certain damages, so some or all of the exclusions and limitations set out above may not apply to you. Notwithstanding anything to the contrary in these Terms, in such cases, Meta's and its affiliates' liability will be limited to the fullest extent permitted by applicable law. - No Guarantee of Execution. To the maximum extent permitted by applicable law, Meta does not guarantee Muse's execution of your instructions, including that: (a) Muse will successfully complete any action; (b) actions will be timely; (c) actions can be reversed or undone once initiated; (d) Muse will be continuously available without interruption or that Muse will be error-free; or (e) Muse will function with all third-party or other Meta services. Meta may, in its sole discretion, refuse to execute, suspend, or terminate any action at any time without notice or liability.
- Enforcement, Termination and Suspension. If we determine that your content or conduct violates these Terms or other applicable Meta terms or policies, or poses a risk to Meta, other users, or third parties, we may take appropriate action based on our assessment. Such action may include, without limitation: notifying you of the violation; issuing warnings or strikes; removing or restricting access to certain features; suspending or disabling your access to Muse and/or any associated Meta accounts; or referring the matter to law enforcement.
Meta may suspend or terminate your access to Muse or its features, or remove, disable, or restrict access to any artifact created with Muse, at any time, for any reason, without prior notice or liability, including: (i) to prevent a security risk or other credible risk of harm or liability to Meta, the platform, or any third party; (ii) if required by law; or (iii) for violations of these Terms. If you choose to access Muse through a subscription, your rights regarding notice, refunds, and the consequences of suspension or termination of your subscription are governed by the Meta Subscription Terms of Service.
Upon termination: (a) any pending or in-progress actions may be cancelled without completion; (b) your right to use Muse ceases immediately; (c) Meta is not responsible for any consequences resulting from incomplete actions; and (d) the following provisions shall survive termination: Ownership of Muse, Restrictions, User Representations and Warranties, Disclaimer of Representations and Warranties, Limitation of Liability, Disputes, as well as this clause (d) of Section 17. - Severability and Waiver. If any portion of these Terms is deemed invalid or unenforceable, that aspect shall be deemed amended to the minimum extent necessary to make it enforceable. If it cannot be made enforceable, then it will be severed and not affect the validity or enforceability of any other aspect. If we fail to enforce any of these Terms, it will not be considered a waiver. Any amendment to or waiver of these Terms must be made in writing and signed by us.
- Disputes. Except as provided below, if you live in the US or Canada, you and we agree that any cause of action, legal claim, or dispute between you and us arising out of or related to these Terms or Muse ("claim(s)") must be resolved by arbitration on an individual basis (including under the Batch Arbitration procedure outlined below, when applicable). Class actions and class arbitrations are not permitted; you and we may bring a claim only on your or our own behalf and you cannot seek relief that would affect other Muse users. If there is a final judicial determination that any particular claim (or a request for particular relief) cannot be arbitrated in accordance with this provision's limitations, then only that claim (or only that request for relief) may be brought in court. All other claims (or requests for relief) remain subject to this provision.
- Instead of using arbitration, you or we can bring claims in your local "small claims" court, if the rules of that court will allow it. Additionally, if the claims asserted in any demand for arbitration could have been brought in small claims court, then either you or we may elect to have the claims heard in small claims court, rather than arbitration, at any time before the arbitrator is appointed, by notifying the other party of that election in writing. Any dispute about whether a claim qualifies for small claims court will be resolved by that court, not by an arbitrator. If you don't bring your claims in small claims court (or if you or we seek to appeal a small claims court judgment to a court of general jurisdiction), then the claims must be resolved by binding, individual arbitration. The American Arbitration Association will administer all arbitrations under its Consumer Arbitration Rules. You and we expressly waive a trial by jury.
The following claims don't have to be arbitrated and may be brought in court: disputes related to intellectual property (like copyrights and trademarks), violations of our Platform Policy, or efforts to interfere with the Service or engage with the Service in unauthorized ways (for example, automated ways). In addition, if you or we seek public injunctive relief (that is, injunctive relief that has the primary purpose and effect of prohibiting unlawful acts that threaten future injury to the public), the availability and scope of such relief must be litigated in court and not in arbitration. Issues relating to the scope and enforceability of the arbitration provision are also for a court to decide.
This arbitration provision is governed by the Federal Arbitration Act.
You can opt out of this provision within 30 days of the date that you agreed to these Terms. To opt out, you must send your name, residence address, username, email address or phone number you use for your Muse account, and a clear statement that you want to opt out of this arbitration agreement, and you must send them here: Meta Platforms, Inc. ATTN: Muse Arbitration Opt-out, 1601 Willow Rd., Menlo Park, CA 94025. - Before you commence arbitration of a claim, you must provide us with a written Notice of Dispute that includes your name, residence address, username, email address or phone number you use for your Muse account, a detailed description of the dispute, and the relief you seek. Any Notice of Dispute you send to us should be mailed to Meta Platforms, Inc., ATTN: Muse Arbitration Filing, 1601 Willow Rd., Menlo Park, CA 94025. Before we commence arbitration, we will send you a Notice of Dispute to the email address you use with your Muse account, or other appropriate means. Upon receipt of a Notice of Dispute, you and we agree to attempt to resolve the dispute through informal good-faith negotiation. If we are unable to resolve a dispute within sixty (60) days after the Notice of Dispute is received, you or we may commence arbitration.
- Payment of all filing, administration and arbitrator fees will be governed by the AAA rules. You are required to pay the AAA's filing fee, but we will reimburse you at the conclusion of the arbitration to the extent it exceeds the fee for filing a complaint in a federal or state court in your county of residence or in San Mateo County, California. However, we will not reimburse you if the arbitrator finds that either the substance of your claim or the relief you sought was frivolous or brought for an improper purpose.
You and we agree that an administrative conference with the AAA will be conducted in each arbitration proceeding, and you and a Meta company representative will appear at the administrative conference via telephone. If you fail to appear, regardless of whether your attorney attends, the AAA will administratively close the arbitration proceeding without prejudice, unless you show good cause as to why you were not able to attend the conference.
The existence and content of the arbitration proceedings, including documents and briefs submitted by the parties; any correspondence from the AAA; and correspondence, orders, and awards issued by the arbitrator are strictly confidential and will not be disclosed to any third party without the express written consent from the other party, unless disclosure to the third party is reasonably required in the context of conducting the arbitration proceedings or related court proceedings. - You and we mutually agree to use the following Batch Arbitration procedure in the event that 50 or more similar individual arbitration demands are filed against the same party with the assistance of the same law firm(s).
Under the Batch Arbitration procedure, the AAA will (i) administer the arbitration demands in batches of 50; (ii) provide for the administration of each batch as a coordinated group with one set of filing and administrative fees per side per batch; and (iii) appoint a single, different arbitrator for each batch, subject to any applicable disclosure and disqualification procedures available under applicable law. Arbitrators assigned to a batch of claims will decide the claims on an individual basis and issue separate awards for each individual claimant.
Arbitrations administered pursuant to this Batch Arbitration procedure may be administered and proceed concurrently to the extent administratively feasible. - For any claim that is not arbitrated or resolved in small claims court, you agree that it will be resolved exclusively in the U.S. District Court for the Northern District of California or a state court located in San Mateo County. You also agree to submit to the personal jurisdiction of either of these courts for the purpose of litigating any such claim.
- The laws of the State of California, to the extent not preempted by or inconsistent with federal law, will govern these Terms and any claim, without regard to conflict of law provisions.
- If you reside outside of the United States or Canada, the provisions of this Section 19 do not apply to you, and disputes arising from or relating to Muse between you and us will be governed by the Meta Terms of Service.
- Instead of using arbitration, you or we can bring claims in your local "small claims" court, if the rules of that court will allow it. Additionally, if the claims asserted in any demand for arbitration could have been brought in small claims court, then either you or we may elect to have the claims heard in small claims court, rather than arbitration, at any time before the arbitrator is appointed, by notifying the other party of that election in writing. Any dispute about whether a claim qualifies for small claims court will be resolved by that court, not by an arbitrator. If you don't bring your claims in small claims court (or if you or we seek to appeal a small claims court judgment to a court of general jurisdiction), then the claims must be resolved by binding, individual arbitration. The American Arbitration Association will administer all arbitrations under its Consumer Arbitration Rules. You and we expressly waive a trial by jury.
- Changes to These Terms. We may need to update these Terms from time to time in our sole discretion including but not limited to accurately reflect our services and practices, to promote a safe and secure experience, or to comply with applicable law or regulation. We will provide reasonable notice of any material changes to these Terms. Once any updated Terms are in effect you will be bound by them if you continue to access or use Muse. If you do not agree to the updated Terms, you should stop using Muse before they go into effect.
